Mergers, Acquisitions and Downsizing

There are many labor, employment and employee benefits law issues that arise in mergers, acquisitions, and downsizings. Our attorneys advise both buyers and sellers on issues such as severance compensation, multiemployer pension plan withdrawal liability, health plan and other benefit plan termination issues, development of criteria for the buyer to use in determining which employees to hire, union bargaining and representational rights, successorship issues, and decision and effects bargaining. We also assist companies involved in mergers and acquisitions in the labor, employment and workers’ compensation aspects of the due diligence process.

We advise companies that are engaged in downsizing or “right-sizing” their operations on issues such as compliance with the Worker Adjustment and Retraining Notification Act (“WARN”) and similar state statutes, avoidance, of discrimination claims, severance pay, COBRA issues and compliance with the Older Workers Benefits Protection Act.
